Associate Transcriber Contract


IT IS AGREED as follows:

1. The Consultant is acting as an independent contractor for all purposes and agrees to furnish all the labour, equipment and materials as may reasonably be required to complete the transcription services for the Client. The Client is TP Transcription Limited of Ty Brith, Llandegla Road, Mold CH7 4QX.
2. The Consultant agrees to perform the work in a good and professional manner and to comply with any reasonable directions given by the Client. If any specification is required, it is attached to, and forms part of, this contract.
3. The Consultant and the Client agree that this contract will continue in force, unless and until terminated by either party giving the other party one months notice in writing.
4. The Client agrees to pay the Consultant a variable fee dependent on the type of transcription work undertaken. This will be agreed between the parties in writing prior to each separate piece of transcription being completed. Payment will be made by the Client to the Consultant on the last Thursday of the month for all work completed during that month. This sum will be paid to the Consultant at regular intervals, as required, until all payments which are due for the work have been made. The Consultant will be entitled to claim interest at a rate of one per cent per annum over the Bank of England’s base rate on overdue invoices, from the date on which the invoice became due, until the date the invoice is paid in full.
5. Nothing in this contract will render the Consultant an agent, officer, employee, worker or partner of the Client. The Consultant will not be entitled to any employment related benefits from the Client.
6. The Consultant will be fully responsible for, and will indemnify the Client in respect of all liabilities, losses, damages, costs, claims and/or expenses suffered or incurred by the Client as a result of any employment-related claim brought against the Client, howsoever arising out of, or in connection with, the services provided by the Consultant and/or this contract.
7. The Consultant agrees to abide by the Clients policies, which are set out at https://www.tptranscription.co.uk/company-policies/. It is the Consultant’s responsibility to check the website regularly to ensure that they are aware of the latest policies.
8. The Client’s (and that of its officers, directors, employees, shareholders or agents) total aggregate liability to the Consultant, howsoever arising out of, or in connection with, this contract shall be limited to the value of the fees paid by the Client to the Consultant in respect of the relevant work which gave rise to the claim.
9. Without prejudice to any rights or remedies which the Client may have, if the Consultant shall make default in the following respect: without reasonable cause and fails to complete any part of the work satisfactorily for the purposes of the Client; then the Client may issue a notice to the Consultant specifying the nature of the default. The default which requires correction must be undertaken immediately at the Consultant’s own time and expense. If the Consultant shall either continue such default for 72 hours after receipt of the notice, or shall at any time thereafter repeat such default, then the Client may by written notice immediately terminate this contract and no payment will be made for work which did not meet the required standards.
10. The Consultant can sub-contract the work to other suitable parties as necessary. There is no obligation for him/her to undertake the work directly himself/herself, but the Consultant shall remain fully responsible and liable for the performance, or otherwise, of any sub-contractor.
11. The Consultant has already signed a confidentiality undertaking with the Client, and this is included as part of this contract.
12. The Consultant hereby assigns to the Client, with effect from the date of creation, all intellectual property rights and any other proprietary rights in each piece of transcription work carried out for the Client.
13. The provisions of the clauses of this contract that by their nature may reasonably be presumed to survive any termination shall survive any termination hereof.
14. This contract sets forth the entire agreement and understanding between the parties and supercedes all prior discussions or arrangements between them with regard to its subject matter.
15. This contract and any dispute or claim arising out of it (including non-contractual disputes or claims) is governed by English law and the parties agree to the exclusive jurisdiction of the English courts. If any provision of this contract is held to be invalid by an English court of competent jurisdiction, then the remaining provisions shall remain in full force and effect.
